Data room
The secure repository where a company shares the documents investors or acquirers need for due diligence.
A typical data room holds financial statements and management accounts, the forecast model, customer and contract data, the cap table, legal documents and board materials. Access is usually logged.
Large data rooms hold hundreds of files, and the same figure can appear in several of them. Contradictions between documents are among the most useful findings of diligence.
