Information memorandum (IM)
The detailed document a seller’s adviser prepares to describe a business to prospective buyers or investors.
Also called a confidential information memorandum (CIM). It covers the business, market, management, financial history and forecast, and is shared under a non-disclosure agreement once a buyer has shown interest in the teaser.
Buyers test every figure in it against the data room, so contradictions found before the process opens are cheaper to fix than those a buyer finds.
